In the UK, the promotion of financial interests in SLPs is restricted to only those persons to whom such communication can be lawfully made (Eligible Investors), including the following: (i) “investment professionals” within the meaning of article 19 of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 (FPO); (ii) "high net worth companies, unincorporated associations, partnerships or trustees of high value trusts" within the meaning of Article 49 of the FPO; (iii) "certified high net worth individuals" within the meaning of article 48 of the FPO; (iv) "self-certified sophisticated investors" within the meaning of article 50A of the FPO; (v) "certified sophisticated investors" within the meaning of article 50 of the FPO in relation to investments of a kind that includes shares; and (vi) any other person to whom the promotion may be lawfully communicated without breaching the financial promotion restriction. Persons who are not Eligible Investors must not act or rely on communications concerning the sale of financial interests in SLPs and Argenta Private Capital Limited (as the person duly authorised by the UK Financial Conduct Authority to establish, operate and wind-up SLPs) will permit the transfers of financial interests only to persons whom it believes to be Eligible Investors.
